Why did the Fiat Chrysler-Renault merger fail? Why did Fiat Chrysler Automobiles withdraw its offer?

Since I and some read about others’ answers about this question (as seen on this question). It was no shock for me then. Ironically speaking, Italy’s current government (under its unrecognizable conservative politicians) had a beef with France’s current government (under progressive Macron) in early 2019, which means that Renault may not merge with Fiat following Paris’ verbal feud with Rome over the Yellow Vests Movement earlier (sources: France condemns Italy's meeting with gilets jaunes leader , Rome's war of words with President Macron may prove self-defeating , France and Italy's war of words steps up as elections approach ). And with the failed merger’s result was obvious, it may be possible (in my thinking) for Fiat Chrysler Automobiles to look for another merger with the Hyundai Motor Group of South Korea (a direct rival to Japan, home to Nissan and Mitsubishi, both marques were owned by Groupe Renault) instead. South Korea (Hyundai Motor Company and Kia Motors’ home territory) on the other hand, is invulnerable from the current political climate that both France and neighborring Italy has and with that case following Renault’s decision to cancel its merger with Fiat, it would be a lucky thing for Hyundai to do merger talks with the rest of FCA. FCA’s involvement with Renault and the rest in fact, are only just a couple of old, or even disordered memories, with Mitsubishi started ties with Chrysler from 1971 (source: The Hot, Torrid, Turbocharged Romance Between Chrysler And Mitsubishi ), Chrysler was even the same company that started ties with Renault from 1977 to 1987 (when Renault (the other diamond) left North American sales at that time), Alfa Romeo (another FCA subsidiary) had ties with Nissan over the Alfa Romeo Arna compact (whose running gear was based on the Europe-only version of the Nissan Pulsar called as the Nissan Cherry , fourth generation only) and Fiat recently had ties with Mitsubishi over the Fiat Fullback pickup truck (whose running gear was even based on the fifth generation Mitsubishi L200 ) as well. Now, as Renault dismissed the merger with FCA, it should be possibly on for Fiat Chrysler to do merger talks with the rest of HMG (Hyundai Motor Co., Kia Motors, Genesis Motors and Hyundai Mobis) before it is too late. And to have HMG merge with the Fiat Group, please go to change.org and turn that dream into a petition! (change.org , source: The world’s platform for change ) - sorry for the words. And then when I realized that Groupe Renault (Groupe Renault) officially withdraw a proposal by merging with FCA (Fiat Group and Chrysler), both CNN, Reuters and AP said it all (below): Fiat Chrysler withdraws proposed merger with Renault (CNN) “New York (CNN Business) Fiat Chrysler has withdrawn its proposal to merge with French automaker Renault — a deal that would have reshaped the global auto industry and helped the carmakers compete in the race for electric and self-driving vehicles.” “The company said Wednesday that it "has become clear that the political conditions in France do not currently exist for such a combination to proceed successfully." “Earlier in the day, Renault indicated the French government requested its board of directors postpone the vote on the merger. France, which owns 15% of Renault, previously indicated that it would support a merger if the companies protect French jobs and auto plants.” “Renault could not be reached for comment Wednesday evening.” “The deal would have created the third largest carmaker behind Volkswagen and Toyota. General Motors would have fallen to fourth place in the global ranking. The proposal is the latest example of established automakers seeking partnerships to share the costs of developing new technologies including electric vehicles and autonomous driving systems.” “Fiat Chrysler (FCAU) owns brands including Jeep, Dodge, Alfa Romeo and Maserati. Among its top markets is North America, where Renault does not have a significant presence.” “When it first made the merger proposal last month, Fiat Chrysler said a combination would produce annual cost savings of more than €5 billion ($5.6 billion). The company said no plants would be closed as a result of a merger.” “Renault is already part of a major global alliance with Japanese automakers Nissan and Mitsubishi. Renault and Nissan both own major stakes in one another. But that alliance was put under extreme pressure when Renault's Chairman and CEO Carlos Ghosn was arrested in Japan last year, accused of improprieties in his pay package from Nissan.” “Nissan declined to comment late Wednesday on Fiat Chrysler's withdrawal.” “Nissan, Renault and Mitsubishi Motors together employ more than 470,000 people in nearly 200 countries. They sold more than 10.6 million cars worldwide in 2018. All three alliance partners renewed their commitment to one another at a meeting in Amsterdam last December, but tensions linger among the partners.” “The French government is one of the biggest single shareholders in Renault.” “Fiat Chrysler was formed as a merger of two struggling automakers. Fiat bought a controlling stake in Chrysler following the US government bailout of the company in 2009. They were formally merged in 2014.” “But Fiat Chrysler is a distant fourth in US sales and 8th globally. The company has also trailed its competitors in adopting electric vehicle and self-driving technology, which many deem the industry's inevitable future.” “Sergio Marchionne, its former CEO who passed away a year ago, had spoken openly of the need to merge Fiat Chrysler with a larger automaker to give it the scale and resources to compete. He had even sought a merger with General Motors, only to be rebuffed. He had been far more blunt than other auto executives about the threat to the industry that new entrants such as Google (GOOG) posed to old-line automakers.” - “Chris Isidore and Sherisse Pham contributed to this report” (source, again: Fiat Chrysler withdraws proposed merger with Renault - CNN ). Fiat Chrysler withdraws merger offer for Renault, blames French Politics (Reuters) : “PARIS (Reuters) - Fiat Chrysler said it has abandoned its $35 billion merger offer for Renault, blaming French politics for scuttling what would have been a landmark deal to create the world’s third-biggest automaker.” “A source close to the French carmaker’s board said Fiat Chrysler made the move after France sought to delay a decision on the deal in order to win the support of Nissan Motor Co, Renault’s Japanese alliance partner.” “French government officials had pushed for Nissan to support the merger. Nissan had said it would abstain.” “The French government, which owns a 15% stake in Renault, had also pushed Fiat Chrysler for guarantees that France would not lose jobs, and for a dividend to be paid to Renault shareholders, including the government, people familiar with the talks said. Fiat Chrysler’s original proposal offered no special dividend to Renault shareholders.” “‘It has become clear that the political conditions in France do not currently exist for such a combination to proceed successfully,’ Fiat Chrysler said in a statement issued early Thursday from London.” “Renault, in a separate statement, said its board was ‘unable to take a decision due to the request expressed by the representatives of the French state to postpone the vote to a later meeting.’” “The collapse of merger talks leaves the two companies facing an array of issues, starting with the dismay of investors who bid up shares in both companies after Fiat Chrysler proposed a merger of equals just over a week ago. Shares of Nissan and Renault alliance partner Mitsubishi Motors Corp fell in early trading in Tokyo on Thursday.” “Fiat Chrysler had proposed that its shareholders receive a 2.5 billion euro ($2.8 billion) special dividend as part of the merger, had it been completed.” “NEXT STEPS UNCLEAR” “The two companies told investors a merger would cut operating costs and investments by 5 billion euros or more a year. Fiat Chrysler stood to gain access to Renault’s superior electric drive technology to meet mandates for zero-emission cars.” “Renault would have had a share of the Italian-American company’s lucrative Jeep sport utility vehicle and RAM pickup truck franchises.” “It is not clear what the two companies will do next to tackle the costs of far-reaching technological and regulatory changes. Fiat Chrysler had held inconclusive talks with France’s PSA Group, which also has the French government as a shareholder.” “Fiat Chrysler said it ‘will continue to deliver on its commitments through the implementation of its independent strategy.’” “The sudden end to the merger talks came after midnight in Paris, after Fiat Chrysler and French government officials had reached a tentative agreement that cleared the way for Renault’s board to consider moving forward, people familiar with the situation said.” “Renault’s previous alliance and cross-shareholding with Japanese automaker Nissan had loomed all along as a potential snag. Nissan Chief Executive Hiroto Saikawa met last week with Renault Chief Executive Jean-Dominique Senard, and said he did not see ‘any particular negative aspect’ to the proposed Fiat Chrysler-Renault merger.” “But people familiar with the situation said last week Nissan executives felt blindsided by the merger proposal. A Nissan spokesman had no immediate comment.” “Nissan had indicated that a full merger between Renault and Fiat Chrysler would significantly alter the structure of Nissan’s cross-shareholding alliance with Renault and require a fundamental review of their relationship.” “FRENCH PUSH FOR CONTROL” “The failure of the proposal to combine Fiat Chrysler and Renault is the latest blow to the French automaker, already reeling from the fall of its longtime CEO Carlos Ghosn, who is awaiting trial in Japan on charges of financial misconduct as chairman of Nissan. Ghosn has denied the charges and said he is the victim of treachery by Nissan underlings who opposed his plans to merge Nissan and Renault.” “Fiat Chrysler’s decision to walk away is a defeat for Senard, former head of tire maker Michelin. He invested heavily in the proposal to merge with Fiat Chrysler, and traveled to Japan last week to make the case personally to executives of Nissan and third alliance partner Mitsubishi that a merged Renault-Fiat Chrysler could work closely with them as well.” “As Renault board members met in Paris Wednesday evening, it appeared that Senard, Fiat Chrysler Chairman John Elkann and representatives of the French government led by finance minister Bruno Le Maire had ironed out most of their differences.” “The French government had pushed for more control over the company going forward, according to people familiar with the situation, while Fiat Chrysler’s controlling shareholder, representing descendants of Gianni Agnelli, had sought to defend the valuation assigned to their company and the potential cost savings.” “Nissan had signaled that its representatives would abstain. But during the meeting, French government representatives sought to persuade Nissan to endorse the deal. The meeting was held up three times for consultations, people familiar with the events said.” “NISSAN ABSTAINS” “Fiat Chrysler had also become increasingly aware of the pitfalls of pursuing a Renault merger without its larger alliance partner’s buy-in.” “‘Nissan needs to be in the loop,’ an FCA source told Reuters shortly before the deal fell apart.” “When it came to a vote, the Nissan representatives abstained, the leftist CGT union voted against, and all other directors voted for it. When it was the French state representatives’ turn to vote, they insisted that the vote be postponed, people familiar with the events said.” “France’s lead representative on the board, Martin Vial, said finance minister Le Maire would hold talks with his Japanese counterparts over the weekend and in Tokyo on Monday, after the G20 summit, and a vote could then take place on Tuesday.” “Senard requested that Fiat Chrysler grant a delay. Instead, Fiat Chrysler quickly rejected the request, a person familiar with the events said.” “On the French side, Fiat Chrysler was seen as being in too great a hurry to lock down the deal. French officials, however, signaled they saw no need to rush.” “Reporting by Laurence Frost in Paris; Additional reporting by Giulio Piovaccari in Milan and Peter Henderson in San Francisco; Writing by Joseph White; Editing by Bill Rigby” (source, again: Fiat Chrysler withdraws merger offer for Renault, blames French Politics - Reuters ). Fiat Chrysler says French politics ended Renault merger (AP) “PARIS (AP) — Fiat Chrysler abruptly withdrew an offer to merge with French automaker Renault late Wednesday, a shocking reversal of a deal that could have reshaped the global auto industry.” “The Italian-American automaker blamed its move on France’s government, saying that the country’s political climate would stop the tie-up from being successful. The government owns 15% of Renault and would have had to approve the merger.” “‘It has become clear that the political conditions in France do not currently exist for such a combination to proceed successfully,’ Fiat Chrysler said in a statement. ‘FCA will continue to deliver on its commitments through the implementation of its independent strategy.’” “Officials on each side blamed the other for making demands that caused the deal to fall apart with little hope of revival. The moves came on a tumultuous day in which FCA and the government reached a tentative deal on merger terms but it was scuttled later as Groupe Renault’s board met for six hours outside of Paris. The board postponed any action on the merger at the government’s request, Renault said.” “Fiat Chrysler proposed the 50-50 merger in late May, saying it would save more than 5 billion euros ($5.62 billion) per year in purchasing expenses and costs developing autonomous and electric vehicles. The combined company would have produced some 8.7 million vehicles a year, more than General Motors and trailing only Volkswagen and Toyota. The merger would have created the world’s third-largest automaker worth almost $40 billion.” “Nissan, which has a longtime alliance with Renault, expressed reservations about the deal. But if it had gone along, it would have created the world’s biggest auto company.” “Most analysts praised the combination, saying each side bought strengths that covered up the other’s weaknesses. Now, the two companies apparently must find a new way to address any shortcomings at a time when the auto industry is in the midst of a global sales slowdown and facing enormous expenses to develop future technologies.” “‘FCA clearly saw too many obstacles, primarily Nissan’s reluctance,’ said Kelley Blue Book Executive Publisher Karl Brauer. ‘Given the longstanding relationship between Renault and Nissan, it’s hard to imagine the merger working without Nissan’s full support.’” “The scuttled deal won’t stop consolidation talks from continuing in the auto industry, Brauer said.” “A person with ties to Fiat Chrysler said the talks were going great until the government got involved, continuing to push job security and other demands even after the initial deal was reached. The person didn’t want to be identified because details were not included in the company’s official statement. The person said Renault and its alliance partners Nissan and Mitsubishi, were ‘all in’ on the deal.” “But a French government official gave a different take, saying its demands were made public early on and did not change. The government sought guarantees that no French factories would be closed and no jobs would be lost. It also wanted support from Nissan and parity in corporate governance between Fiat Chrysler and Renault, said the person, who also requested anonymity because the government had yet to make an official statement.” “Fiat Chrysler abruptly yanked its offer after the government said it wanted to wait until Tuesday to make a decision so it could meet in Japan with Nissan representatives, the person said.” “The French government had said previously that it also wanted investment assurances, a seat on the merged entity’s board, and for the operational headquarters of the merged company to be in France.” “Earlier Wednesday, France’s finance minister said the car companies shouldn’t rush into a merger.” “‘Let’s take the time to do things well,’ Bruno Le Maire said on BFM television. ‘We want this merger, but we don’t want it under just any conditions.’” “The negotiations come as the French government is struggling to contain fallout from new job cuts announced by General Electric in France.” “Renault’s powerful CGT union is against a Fiat Chrysler merger, fearing the loss of jobs and arguing the proposal undervalues Renault and bails out Fiat.” “The merger could have also threatened Renault’s troubled alliance with Nissan and Mitsubishi. Nissan had no comment Wednesday on the collapsed deal.” “Krisher reported from Detroit. Yuri Kageyama contributed from Tokyo.” And with that case (as said above), Fiat (Chrysler Automobiles) should try everything to upgrade their business. So that Hyundai Motor Group (which is deeply healthy in terms of sales, assets, etc.) will agree with the rest of FCA (which is ailing, the opposite to what Hyundai Motor Company and Kia Motors had), unless if [South] Korea’s HMG should propose a merger with the Italian-American FCA merger, but that idea (of HMG merging with FCA) can be useful for Fiat to reengineer some of Hyundai’s cars (especially, those cars that are not sold in Europe such as the current generations of Elantra and Sonata) and market those cars to countries where neither Hyundai (MG plus MC), nor Fiat (plus FCA) is non-existent (e.g. Japan (for Hyundai Motor Group since it is a country that is deeply frosty towards South Korea), the Republic of Korea (for Fiat and Alfa Romeo, also a country that still sees Japan as a foe, not a friend) and the Philippines (a country that deeply likes Japan) as well). For more info, better ask Jim Policke, Daniel Crain, Rachida Ali Daoud, Nick Maag, David Dill, Mihai Dan Ispas, Aaron Turpen, Alket Cecaj, User-12685428141664529627, Gerald McGowan, Gérard Briais, Frank Kemper, Chris Coleman and others as well (about “Why did the Fiat Chrysler-Renault merger fail? Why did Fiat Chrysler Automobiles withdraw its offer?”) And for more info too: What is Chrysler's safest car model? How does Fallout 4 compare to Fallout 3?

I personally think of Fallout this way, Fallout 3 has a good story but bad gameplay, Fallout NV had a bad story but good gameplay.. Fallout 4 has improvments but at the same time important mechanics was removed or not even added. Fallout NV allows you to switch out ammo types like HP and AP ammo or Magnum Shot or slugs for shotguns you could also craft your own ammo with specific powder Pistol/Rifle there was specific primer types Small pistol/Large rifle and the 50 MG had it’s own unique primer aswell as shotguns, then you had to have the right casing then Fallout 4 removed Skills and changed how radiation poisoning and how fatigue works in the game, in Fo3/NV radiation had its own meter and once it reached 1000 you drop dead in Fo4 rads will just drain yr max health, if you get infections in Fo4 it will drain yr health down to 1 hit but will not kill the “classic” fallouts was not this merciful, also in Fo4 you cannot see your oxygen meter when swimming under water like you can in fo3 anf nv.. Fallout 4 was expected to be more than what it is and it should have stayed in dev until 2020 or 2025. However there is a bright side to Fo4, Highly skilled mod authors it will take a few years for super complex mods to come out but it will eventually happen, I hear theres 2 mod authors working on remaking Fo3 and FNV on the Fo4 engine from scratch, kudos to them! Edit: got confused about how radiation worked in Fo4 “radiation cant even kill you it will bring you down you 1 hit death which is quite stupid imo”
