You only make that mistake once., Decades ago, I was the general manager of a luxury boutique hotel on the water in Los Angeles. The property had a massive porte cochere where guests arriving by automobile were received by valets. We had a hotel guest arrive in a Rolls-Royce Corniche Convertible in porcelain white: A very tall African-American man exited the car and approached the Front Desk. He asked if we had a penthouse accommodation available, which we did. As he signed the guest registration card, the desk clerk recognized the name, ,Maurice Lucas, of the ,Portland Trail Blazers,. The two men discussed basketball as the bellman took the guest’s luggage up to the penthouse. Our new hotel guest cut a high profile in the Club Dining Room and Bar that evening buying ice buckets filled with expensive champagne for the women he met. He was enjoying himself to the fullest. The next morning, the Club Credit Manager, Ken, was looking at the balances on the guest folios and Mr. Lucas’s high balance caught his eye. Ken asked me and the Front Desk Manager why we had allowed Mr. Lucas to rack up such a high balance without credit identification. The front desk manager said,, “Hey, cut us some slack, that is Mo Lucas and he says he is here talking to the Lakers.” Our very excited credit manager asked why we thought we had Mo Lucas as a guest since he was an avid basketball fan. The front desk manager told Ken that Mo had driven up in a Rolls Royce and looked the part of a professional athlete. Ken then said, ,“Because a 7-foot tall black man drives up in a Rolls Royce, you just assume he is Mo Lucas - I have got to get a look at this guy ASAP and I know what Mo Lucas looks like!” The three of us went up to the penthouse to speak with Mo Lucas. Ken told us that he would do all the talking. When Mo Lucas opened the door, Ken immediately knew the man was an impostor, so he apologized that we had the wrong guest room. Ken then stepped to the hallway house phone and called the Los Angeles Sheriff’s office to have our guest arrested for defrauding an innkeeper. Anybody can rent a Rolls Royce.
Does Rolls Royce own Bentley?
Yes and No.. it depends on how you view it. Rolls Royce was established in 1904, Bentley in 1919.. in 1931 with the great depression, Rolls Royce through a blind bid ended up purchasing Bentley.. from that time until 2003 Rolls Royce and Bentleys are one and the same except for a “Badge” on the car, aside from that the vehicles were identical. Buyers simply would express their preference.. Bentley or Rolls.. Flying B or Spirit of Ecstasy as hood ornament. See below Bentley Corniche Rolls Royce Corniche Now in 1998 something happened.. Vickers Engineering that owned Rolls Royce/ Bentley sold the automotive company to VW AG, (which is owned by Porsche SE) who was shopping for other brand names to add to it’s portfolio. In 1998 they acquired Lamborghini, Bugatti and Rolls Royce/ Bentley. BMW who also wanted to purchase Rolls Royce Motors from Vickers but was out bid by the VW AG, but as it turned out to the chagrin of VW AG, it had acquired all that was Roll Royce / Bentley..The factory, designs, talent, and the Bentley name and logo, but the Rolls Royce name and Logo was not owned by the Automotive company.. but instead by the Aerospace company. This little nuance was quickly exploited by BMW, who purchased the use of the name Rolls Royce and the Logo from the Aerospace company. So now the drama begins.. VW, owns all that is Rolls Royce/ Bentley except for the name Rolls Royce.. BMW owns the name Rolls Royce and nothing else. Now BMW could have just started sticking a Rolls Royce Logo on their BMW 7 series.. but that move would have essentially destroyed the Rolls Royce Brand value, much as Mercedes did with the Maybach brand. Furthermore, to make a Rolls look like a Rolls you need the grill and hood ornament design.. I mean what’s a Rolls without that distinctive grill and Spirit of Ecstasy on top, and that to the chagrin of BMW was owned by VW AG (Bentley Motors) Now the new Bentley motors could just go about business as usual except all the cars would be “badges” with the flying B logo. Except they were in the middle of making cars for customers who wanted the Roll Royce logo and they were using parts supplied by BMW who can with a years notice cut off that supply, and one year was not enough time to re-engineer the cars to use another supplier (VW) So the negotiations began.. VW agreed to sell BMW the designs for the distinctive grill and hood ornament and BMW in turn allowed VW’s Bentley Motors to continue using the Rolls Royce name and logo for another five years. This gave both companies time to get their acts together.. Bentley to continue to fulfill orders for cars with the Rolls Royce name and re engineer a new line of cars not using BMW parts.. BMW would go and build a new factory in England, supplied with BMW parts from the 7 Series.. and in the 2003 both came out with new vehicles.. Rolls So today Bentley is the TRUE legacy manufacturer of what was Rolls Royce. Rolls Royce today is essentially high end BMW’s with the Rolls Royce logo and grill work. So kind of like.. Rolls Royce bought Bentley and they became ONE in 1931.. and in 1998 BMW bought the Rolls Royce name.. The true tradition of Rolls Royce are being sold under the Bentley name now, hence Bentley owns Rolls Royce in spirit.. BMW owns Rolls Royce in name..
What was the biggest contractual loophole in history?
This is about a £430m mistake VW made in missing a loophole in the purchase of Rolls-Royce. Below are two exerts from the Wiki describing the sale of Rolls-Royce to VW. After the initial set up of the sale I will describe the missed contractual loophole that is glossed over or skipped by the Wiki description. I will then return you to Wiki for the subsequent scramble to negotiate. Sale to Volkswagen - ,In 1998, ,Vickers plc, decided to sell Rolls-Royce Motors. The leading contender seemed to be ,BMW,, who already supplied ,internal combustion engines, and other components for Rolls-Royce and ,Bentley, cars. Their final offer of ,£,340m was outbid by ,Volkswagen Group,, who offered £430m. Back to me - What went wrong: When VW had their lawyers review the documents of sale, all indication was that they were buying Rolls-Royce and Bentley. The loop hole in the £430m contract and what the lawyers failed to find and warn their client about was that Vickers plc - Rolls-Royce Motors did not own the trade marks, name Rolls-Royce and RR logo, Vickers only had a 99 year lease to the trade marks from the aero-engine maker Rolls-Royce plc, and this lease was going to expire in four years. This would be almost as bad as if one were to hypothetical discover that some country was trying to buy Hong Kong from the British in 1993, and then you out bidding them by paying a 26% premium, failing to realize that the 99 year lease by the British for Hong Kong was going to expire in 1997 and all you were buying was the next four years of Hong Kong. The loophole is that sale did not include ownership of the intellectual property - the trade mark - it only included the right Vickers had to 4 more years of a lease. The losing party, BMW, figured this out long before any one else did and was able to trump the VW deal by going to the aero-engine maker Rolls-Royce plc and on the cheap buying the trade marks effective at the end of the lease in 4 years. Thus even though BMW was out bid, they were the winners, paying only £40m, an 88% discount from their original bid. Here is the rest of the Wiki description of the story. As part of the deal, Volkswagen Group acquired the historic ,Crewe factory,, plus the rights to the ",Spirit of Ecstasy," ,mascot, and the shape of the radiator grille. However, the Rolls-Royce brand name and logo were controlled by aero-engine maker ,Rolls-Royce plc,, and not Rolls-Royce Motors. The aero-engine maker decided to license the Rolls-Royce name and logo to BMW and not to Volkswagen, largely because the aero-engine maker had recently shared joint business ventures with BMW. BMW paid £40m to license the Rolls-Royce name and "RR" logo, a deal that many commentators thought was a bargain for possibly the most valuable property in the deal. Volkswagen Group had the rights to the mascot and grille but lacked rights to the Rolls-Royce name in order to build the cars, likewise BMW had the name but lacked rights to the grille and mascot. The situation was tilted in BMW's favour, as they could withdraw their engine supply with just 12 months notice, which was insufficient time for VW to re-engineer the Rolls-Royce cars to use VW's own engines. Volkswagen claimed that it only really wanted Bentley anyway as it was the higher volume brand, with Bentley models out-selling the equivalent Rolls Royce by around two to one. Loss of Rolls-Royce marque After negotiations, BMW and ,Volkswagen Group, arrived at a solution. From 1998 to 2002, BMW would continue to supply engines for the cars and would allow Volkswagen use of the Rolls-Royce name and logo. On 1 January 2003, only BMW would be able to name cars "Rolls-Royce", and Volkswagen Group's former Rolls-Royce/Bentley division would build only cars called "Bentley". The last Rolls Royce from the Crewe factory, the ,Corniche,, ceased production in 2002, at which time the Crewe factory became ,Bentley Motors Limited,, and Rolls-Royce production was relocated to a new entity in Goodwood, England known as ,Rolls-Royce Motor Cars,. Despite losing control of the Rolls-Royce marque to ,BMW,, however, the former Rolls-Royce/Bentley subsidiary retains historical Rolls-Royce car assets such as the ,Crewe factory, and ,L Series V8 engine,.

If you had the choice between any model Rolls Royce or any model Bentley which would you want?
I’m between the Bentley Mulsanne and the Rolls Royce Corniche V. In my fantasy 10-car garage, these two definitely make it. I like the Mulsanne because of all the Bentley models, this is the one that has an old world, classic Bentley feel to it. The Corniche-V I’d argue is a modern classic for Rolls-Royce. This is the car I’d want to see sights, and take a cross country road trip.
